Welcome to Ruvako Business Consultants. These Terms and Conditions (“Terms”) govern the relationship between Ruvako Business Consultants (“the Company,” “we,” “us,” or “our”) and the client (“the Client,” “you,” or “your”) regarding the provision of professional business, financial, and IT consulting services.
1. Acceptance of Terms
By accessing our website, booking a strategy call, or signing a service agreement, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
2. Services
Ruvako Business Consultants provides professional services including, but not limited to:

SME Business Development and Strategic Planning.

Financial Accounting, Tax Services, and Management Accounting.

Recruitment Solutions and Human Capital Consulting.

Information Technology and Digital Infrastructure.
The specific scope of work for any project will be defined in a separate Service Level Agreement (SLA) or Proposal.
3. Fees and Payment Terms

Deposit: To ensure resources are allocated and project commencement is secured, a non-refundable deposit of 50% of the total project fee is required upfront before any work begins.

Balance: Remaining fees are payable upon milestone completion or as dictated by the specific SLA.

Currency: All quotes are provided in South African Rand (ZAR) unless otherwise stated.

Late Payments: We reserve the right to suspend services or charge interest on accounts that are overdue by more than 30 days, in accordance with the National Credit Act where applicable.
4. Client Obligations
To provide high-quality insights and services, the Client agrees to:

Provide accurate, complete, and timely information/documentation.

Designate a primary point of contact for decision-making.

Ensure that any data shared with us has been collected in compliance with POPIA.
5. Professional Liability & Warranties

Advice: While we provide data-driven insights and strategic recommendations, the final implementation and business outcomes remain the responsibility of the Client.

Limitation of Liability: To the maximum extent permitted by South African law, Ruvako Business Consultants shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising from the use of our services.

Tax & Legal: Our tax advice is based on current SARS regulations. We are not responsible for retroactive changes in legislation that may impact previously completed filings.
6. Intellectual Property

All templates, frameworks, and methodologies owned by Ruvako Business Consultants prior to an engagement remain our exclusive property.

Upon full payment, the Client is granted a non-exclusive license to use the final deliverables (reports, financial statements, or strategies) for their internal business purposes.
7. Confidentiality
Both parties agree to treat all business, financial, and technical information as “Confidential Information.” We will not disclose your sensitive data to third parties without prior written consent, except as required by South African law or regulatory bodies (e.g., SARS, CIPC).
8. Recruitment Services (Specific Clause)
When utilizing our Recruitment Services, the Client agrees to abide by our placement fee structure. If a candidate introduced by Ruvako is hired by the Client within 12 months of the introduction, the full placement fee will apply.
9. Termination

Either party may terminate a project with 30 days’ written notice.

In the event of termination, the Client is liable for all work performed up to the date of termination, and any outstanding balances must be settled immediately.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gauteng (Pretoria/Johannesburg).
